Acceptance of these Terms

By accessing or using AgenticGrade.ai, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

The service

Agentic Grade analyzes publicly accessible website signals and produces directional scores, findings, evidence, and recommendations. Features, methodologies, limits, and availability may change as the product evolves.

Authority and permitted use

You must be legally able to enter into these Terms. You may analyze public websites only for lawful purposes and must have any authorization required for your use of the resulting report.

Prohibited conduct

You may not:

• Use the service unlawfully, deceptively, or to violate another party’s rights.
• Probe, disrupt, overload, bypass rate limits, or interfere with the service or its infrastructure.
• Use unauthorized automation to scrape, copy, or submit excessive requests.
• Reverse engineer or attempt to discover proprietary scoring coefficients or non-public methodology.

Submitted URLs and public content

You retain your rights in information you submit. You grant us permission to retrieve, process, store, and display public website content as needed to perform the audit, generate reports, prevent abuse, and improve aggregate service performance.

Intellectual property

AgenticGrade.ai, the ClawScan engine, branding, report design, software, and non-public methodology are owned by or licensed to IBAMAR LLC. These Terms do not transfer ownership rights to you.

Paid services

If paid services become available, prices, scope, taxes, and payment terms shown at purchase will apply. Unless stated otherwise, fees are non-refundable once an audit has begun, except where required by law.

Availability and changes

We may modify, suspend, limit, or discontinue any part of the service. We do not promise uninterrupted operation or permanent availability of any report URL.

Disclaimer of warranties

To the maximum extent permitted by law, the service is provided “as is” and “as available,” without warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Limitation of liability

To the maximum extent permitted by law, IBAMAR LLC and AgenticGrade.ai will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the service. Total liability for any claim will not exceed the amount you paid for the service giving rise to the claim during the previous twelve months, or USD $100 if you paid nothing.

Indemnification

You agree to defend and indemnify IBAMAR LLC and AgenticGrade.ai from claims, losses, and expenses arising from your unlawful use of the service, your violation of these Terms, or your infringement of another party’s rights.

Governing law

These Terms are governed by the laws of the Province of New Brunswick, Canada, without regard to conflict-of-law rules. Disputes will be brought in courts with jurisdiction in Saint John, New Brunswick, unless applicable law requires otherwise.

Changes to these Terms

We may update these Terms as the service changes. Continued use after an update means you accept the revised Terms.
